CICC merger: profit rises 41%, shares rise 64%, and two state asset managers hold a quarter

Cinda AMC and Orient AMC now hold 25 percent of CICC. Central Huijin's stake has fallen from 40 percent to 24 percent. Pro forma earnings per share drop 13 percent, while the capital base doubles.

CICC closed its takeover of Dongxing Securities and Cinda Securities on 26 October. The deal doubles its net capital and cuts earnings per share by 13 percent.

On 29 October, 1,136,322,103 new CICC A shares start trading. That is 39 percent of the A shares in issue before the swap.

Every one of them belongs to former Dongxing and Cinda holders, who are 5.5 percent ahead. A CICC close below about 29.9 yuan on 29 October would erase that gain.

Ownership has shifted. Central Huijin, the controlling shareholder, now holds 24.41 percent, down from 40.11 percent. Two state asset managers, Cinda AMC and Orient AMC, hold 24.8 percent between them.

The merger's main benefit is more capital. It doubles the net capital that CICC itself names as its bottleneck for margin lending. The price is a share count 64 percent larger and earnings per share that fall before any synergy arrives.

More capital for margin lending

CICC's listing notice shows what the money bought. On a pro forma 2025 basis, reviewed by EY Hua Ming, parent net capital rises from 48.1bn yuan to 103.3bn. That lifts CICC from 12th to 4th in the industry.

Revenue goes from 28.5bn to 37.2bn yuan, 5th to 3rd. Outlets go from 247 to 441.

Retail clients rise from 9.99m to over 15m before removing overlaps. Advisers rise from 3,866 to 5,756, and product holdings from over 460bn yuan to over 500bn.

The same filing says why capital mattered. CICC's parent net capital is the lowest among comparable peers, which the filing calls a clear capital shortfall.

CICC Wealth's margin and securities lending equals 260 percent of its 23.3bn yuan of net capital. Margin lending is the loan book brokers earn spread on, so a net capital ceiling caps the business. Doubling the base lifts the ceiling.

Profit growth and dilution

Shareholders paid for it in share count. Pro forma 2025 net profit attributable rises 40.6 percent, from 9.79bn to 13.77bn yuan. Shares in issue rise 64.3 percent, from 4.83bn to 7.93bn.

Earnings per share fall from 1.88 yuan to 1.63, a drop of 13.3 percent on the filing's weighted share counts.

The 2024 pro forma shows the same shape. Net profit rises from 5.69bn to 8.60bn yuan, while earnings per share slip from 1.04 to 0.99.

CICC pro forma 2025 versus actual: growth after absorbing Dongxing and Cinda (percent)

On the pro forma 2025 accounts, the merger lifts CICC's revenue 30.5 percent and net profit 40.6 percent, but the share count rises 64.3 percent, so earnings per share fall 13.3 percent from 1.88 to 1.63 yuan.

Source: CICC implementation report and listing notice, Shanghai Stock Exchange, 27 October 2026Pro forma figures come from the 2025 pro forma consolidated statements reviewed by EY Hua Ming. Share count is 4,827,256,868 before and 7,931,378,027 after, so 64.3 percent is calculated.

The price and share exchange

CICC paid for the deal in shares at a fixed ratio, so the price fell with its stock. Its swap result filing shows 3,104,121,159 new A shares. They were worth 113.9bn yuan at the 36.68 yuan swap price and 97.8bn at the 31.50 close on 26 October.

Against that, the pro forma accounts add 61.3bn yuan of attributable equity and 4.0bn of 2025 profit. At the market price CICC paid about 1.6 times book and 25 times earnings for them. Its own shares trade at about 17 times 2025 earnings per share (31.50 divided by 1.88). That gap is the earnings per share dilution.

The swap price of 36.68 yuan came from a 37.00 yuan 20 day average adjusted for dividends. Dongxing holders received 0.4376 CICC shares each, priced at 16.05 yuan after dividend adjustment (16.14 before). That is a 26 percent premium to its 20 day average of 12.81, measured before the dividend adjustment.

Cinda holders received 0.5210 shares each, priced at 19.11 yuan. That carries no premium to its 19.15 average.

In all, 3,232,445,520 Dongxing shares became 1,414,518,159 CICC shares. And 3,243,000,000 Cinda shares became 1,689,603,000.

Dongxing and Cinda holders took CICC's price risk, and so far it has paid. At the 26 October close, 0.4376 CICC shares were worth 13.78 yuan against Dongxing's last trade of 13.06 on 14 September.

For Cinda, 0.5210 shares were worth 16.41 against 15.56. Both groups are 5.5 percent ahead.

Dilution could fade as the new capital is lent out. The combined firm has 1.03 trillion yuan of assets, and gearing falls from 80.94 percent to 78.00.

But attributable equity rises 50.2 percent against profit at 40.6. So pro forma net profit over year end attributable equity slips from 8.0 percent to 7.5. That is arithmetic on the filing's figures, so lending growth on the new capital has to close the gap.

Who owns the combined firm

Huijin remains the controller. After the swap, restricted A shares are 24.81 percent of the capital, unrestricted A shares 51.19 percent and H shares 24.00 percent.

3,903,954,736 shares, 49.2 percent of the capital, are locked for 36 months until late 2029. That combines Huijin's existing 1,936,155,680 shares under its earlier commitment with new shares. Cinda AMC, Orient AMC and Dongfu Guochuang received 1,967,799,056.

Orient AMC's 636,533,171 shares are 8.03 percent. Cinda AMC's 1,329,279,400 are 16.76 percent.

Almost no one dissented. Valid A share claims came to 7,321,947 shares from 1,084 accounts, against 10,930,321 declared.

The H share put price was HK$18.60 against an HK$20.12 close on 11 September. That is an 8.17 percent premium, so exercising made no sense. H shareholders receive nothing and keep 1,903,714,428 shares, 24.00 percent of the total.

Integration deadlines and client accounts

The integration timetable is set by the CSRC approval of 7 September. CICC must file a specific integration plan with a timetable within a year, so by 7 September 2027.

Dongxing and Cinda must be struck off within three years. Branches must be registered again within one year. Risks are ring fenced and related party dealings tightened until then.

Clients may object or close accounts until 31 December 2026, and silence counts as consent. Both firms stop new asset management plans, income certificates and over the counter derivatives from the closing date.

Their subsidiaries overlap. Dongxing Fund, Cinda Australia Fund and two futures companies must be resolved with the regulator. Dongxing left the China Connect list on 20 October.

For issuers, existing equity, bond and advisory projects at Dongxing and Cinda pass to CICC and continue.

Dividends and the first trading test

Cash follows the new register. The proposal draws on parent distributable profit of 8.97bn yuan at 30 June. CICC proposes an interim dividend of 0.26 yuan per share, 2.06bn yuan in total, which needs a shareholders' meeting.

That is 1.33 times the whole 2025 cash dividend of 1.54bn. Huijin would receive 503m yuan, Cinda AMC 346m and Orient AMC 165m.

Cinda AMC is also now a connected person under Hong Kong rules. The CICC group holds 23 bonds issued by Cinda and associates, with a balance of RMB 3,267m. It also holds six asset backed securities worth RMB 71m.

The first test comes on 29 October, when the new shares start trading. The 5.5 percent gain belongs to former Dongxing and Cinda holders. It disappears at 29.85 yuan for Dongxing (13.06 / 0.4376) and 29.87 for Cinda (15.56 / 0.5210), about 5 percent under the 26 October close of 31.50.
