SEC Opens Five-Year Tokenized Stock Exemption With Shareholder Rights

The five-year program opens a U.S. trading route for onchain equities, but only when the token preserves the rights of the listed share and the issuer receives an opportunity to object.

The Securities and Exchange Commission on September 17 created a five-year conditional exemption that allows qualifying Tokenized Securities Venues to trade tokenized National Market System stocks through permissioned automated-market-maker pools.

The commercial opening is narrower than the phrase "tokenized stocks" suggests. A qualifying token must provide the same rights and privileges as the conventional share, including dividend and voting rights. If an unaffiliated third party tokenizes the stock, the venue must notify the issuer and give it an opportunity to object. The smart contracts must be auditable and deployed on a public permissionless distributed ledger, and trading must stop when the underlying listed stock is halted.

Those conditions separate the new U.S. route from products that merely track the economics of a share. Robinhood's European Stock Tokens, for example, are described in its filing as tokenized debt securities that provide economic exposure to referenced shares rather than legal or beneficial ownership of the underlying company. Classic tokens carry no voting rights.

The value shifts to rights infrastructure

A blockchain trading interface alone will not satisfy the exemption. A venue has to preserve corporate rights, coordinate with issuers, maintain ownership records, synchronize trading halts and publish transaction information under the exemption's conditions. Transfer-agent, custody, tokenization and market-surveillance functions become part of one operating stack.

The order also grants temporary dealer-registration relief to certain liquidity providers supplying proprietary capital into the pools. That removes one obstacle to seeding two-sided markets. It does not solve the economic problem of liquidity fragmentation.

Conventional U.S. equities already trade inside deep order books with established clearing, custody and market-data infrastructure. A tokenized venue has to create enough incremental value in settlement, programmability or distribution to persuade issuers, intermediaries and investors to add another execution rail. The exemption's symbol and volume limits make the first five years a controlled market test rather than an unrestricted migration of U.S. equity trading.

Issuer objection rights are especially important for platform economics. A third-party venue cannot assume that a popular stock can simply be wrapped and traded under the exemption without the issuer having a say. That gives corporate issuers bargaining and control rights that synthetic offshore products often avoid by structuring themselves as separate instruments.

The order expands the product that can legally be built without yet changing equity-market volume. U.S. platforms can now build tokenized trading around the actual listed security, with temporary regulatory relief for the venue and certain liquidity providers. The price of that access is fidelity to shareholder rights and issuer control. Firms whose model depends on synthetic exposure have more redesign work to do than firms already built around registered ownership and transfer infrastructure.
