Anthropic UK IPO: one vote per share, 50.1% founder control and day-one insider unlocks

The S-1 runs the UK offer under an exemption with no prospectus. Insider shares start unlocking on day one and keep unlocking through 2027.

UK investors can buy Anthropic, but only as Class A holders with one vote a share. A single founder share controls 50.1% of the votes. That gap, and a lock-up that frees insider stock from day one, decide how big the UK book can be.

The UK offer skips a prospectus. Anthropic announced the filing on 26 October, and the mechanism sits in the S-1 itself. The offer relies on exceptions in Part 1 of Schedule 1 to the Public Offers and Admissions to Trading Regulations 2024. The shares will not be admitted to a UK regulated market.

The S-1 covers offers in six jurisdictions outside the US: Australia, Canada, certain EEA states, Japan, Switzerland and the UK. The shares list only on the Nasdaq Global Select Market under the symbol ANT. In the UK no prospectus will be published.

Bloomberg reported on 28 October that Anthropic is working with RetailBook, a licensed operator of the UK public offer platform. RetailBook coordinates the sale with the platforms that feed it orders. Its partner list is headed by AJ Bell, Hargreaves Lansdown and interactive investor, and includes IG Group, Transact and Raymond James.

The last large listing through this channel shows its scale. SpaceX sold $364m of stock to UK retail through the same platform in June. The June report put that at 0.5% of a $75bn offering, and the arithmetic gives 0.485%. Jersey Mike's ran a similar offering in September.

Most retail demand sits elsewhere. JPMorgan leads the US retail sale. Anthropic is considering 15% to 20% of the shares for retail investors worldwide.

The EEA gets different treatment. It has a separate European retail offering for people who are not qualified investors, under a prospectus a national regulator is expected to approve. The UK offer has no such document and rests on the Financial Conduct Authority's policy statement PS25/9, introduced to help smaller domestic companies raise capital.

The foreign offerings are slices of one deal. The S-1 says shares from any terminated foreign offering are expected to be reallocated to the other jurisdictions, including the US. Total offering size is not expected to change.

Who controls the shares

A UK buyer receives Class A stock, which carries one vote a share. A single Class F share held by the founders' LLC is entitled to 50.1% of the total voting power. The LLC's members are the two Amodeis and five other co-founders.

The founders share control with the trust. Class T, held by the Long Term Benefit Trust, elects a majority of the board. Anthropic is a controlled company under Nasdaq rules and a Delaware public benefit corporation.

Class N shares carry no vote and are held primarily by strategic business partners. They generally convert to Class A on a sale or transfer to an unaffiliated third party. The filing also describes an initial issuance of Class N to the Anthropic Public Benefit Fund.

The board can issue more Class N. Its framework allows up to a further 2% each time the share price rises 50% above the previous milestone, starting from the IPO price.

When insider shares unlock

Insider supply starts on day one. The first trading day after the prospectus date frees shares held by non-founder directors, officers and certain current and former employees and consultants. Further tranches unlock on the 27th, 48th, 62nd and 76th day after the prospectus.

The next release is tied to results. It comes two full trading days after the 2026 annual results, and tranches then follow 13, 27, 41, 55 and 69 days after that release.

The rest of the 180-day group leaves lock-up at the earlier of the second trading day after first quarter 2027 results or the 180th day.

Co-founders and certain holders of more than 0.5% of fully diluted shares are locked up longest. Their last tranche leaves at the earlier of the second trading day after third quarter 2027 results or the 365th day. Goldman Sachs and Morgan Stanley, the representatives of the 22 underwriters, may release holders early.

A Class A buyer therefore meets a release on the first trading day, then on days 27, 48, 62 and 76. After the 2026 annual results, releases come every 14 days.

Revenue, costs and losses

The business behind the stock is changing fast. Revenue was $41m in 2023, $386m in 2024 and $4,585m in 2025.

Revenue in the six months to 30 June 2026 reached $16,286m, against $1,163m a year earlier. That half year is 3.55 times the whole of 2025.

Usage drove the growth. Consumption revenue added $12.1bn of the increase and subscriptions $3.0bn.

The operating loss has nearly disappeared. Anthropic lost $0.7bn at the operating line in the six months to 30 June 2026, against $2.1bn a year earlier.

Revenue of $16.3bn met operating expenses of $17.0bn. For all of 2025 the operating loss was $8.1bn.

Compute costs fell sharply against revenue. Compute and infrastructure took $8.9bn of expenses, 55% of revenue, against 201% a year earlier.

Compute grew 3.8 times, from $2.3bn to $8.9bn, while revenue grew 14.0 times. Revenue is outrunning its biggest cost.

The $80.7bn net loss is mostly not operating. It includes a $72.4bn change in the fair value of convertible notes, derivatives and SAFEs (simple agreements for future equity), and $8.8bn of other expense.

The fair value charge rises as the private valuation rises. It was $34.3bn in 2025. Of the $132.9bn accumulated deficit, $113.2bn is fair value change on convertible notes.

Cash is large. Cash and equivalents stood at $112.4bn on 30 June, up from $17.4bn at the end of 2025.

Dates UK buyers should watch

The prospectus date matters more than the price for the unlock schedule. A 1 October report said Anthropic aimed to trade before Thanksgiving, which falls on 26 November. It said marketing could start as soon as the week of 9 November, and the debut would come no later than year end.

The next S-1 amendment will set the price range and the prospectus date. That date fixes every unlock date above.

As arithmetic, not a forecast, take the latest case before Thanksgiving: a prospectus dated 24 November. Day 27 falls on 21 December and day 76 on 8 February. The 180th day falls on 23 May 2027, a Sunday.

On that case the first insider tranche frees on 25 November. UK platforms routing orders to RetailBook should plan around that amendment, because it sets the date of every release.
